With over 17 years of experience working with large law firms in Texas and California, Mike Dunn has derived a broad base of experience in representing companies of all sizes, from newly formed start ups to large public companies, in a variety of business law matters. Prior to joining Phillips & Reiter, Mr. Dunn was a partner (through Michael Dunn, P.C.) in the Corporate and Securities Group in the Austin office of Gray Cary Ware & Freidenrich, LLP, a predecessor firm of the international law firm of DLA Piper Rudnick Gray Cary, from September 2002 to December 2004. While his notable accomplishments at Gray Cary included the representation of StakTek (Nasdaq NMS: STAK) in its initial public offering and of NetSolve (Nasdaq NMS: NTSL) in its sale to Cisco Systems, Mr. Dunn also continued to focus his efforts on the cultivation of early stage company clients in the formation of their businesses as well as in their efforts to raise venture capital or “angel” financing. As such, Mr. Dunn frequently advises senior management and boards of directors across a scope of legal services needs that extends beyond corporate financing, including option plan adoption and administration, public company reporting compliance, pre-litigation counseling and strategy and strategic partnering relationships.

Prior to joining Gray Cary, Mr. Dunn spent ten years (over six as a partner) in the Business & Technology Group of the (now-defunct) law firm of Brobeck, Phleger & Harrison, LLP. At the request of that firm, Mr. Dunn relocated his practice from Orange County, California to serve as a co-founder of the firm’s Austin office in October 1994. At the time, the Austin office of Brobeck was comprised of only three lawyers – truly a start-up venture. However, business turned brisk with Mr. Dunn serving as a senior associate in Tivoli’s IPO and as counsel to the underwriters of National Instruments’ IPO, both of which were completed in the first quarter of 1995. Mr. Dunn was the primary counsel to a number of technology start ups during the mid-1990s, such as Crossroads Systems (Nasdaq NMS: CRDS), SMART Technologies (acquired by i2 Technologies) and Activerse (acquired by CMGI), assisting these companies in their growth from a handful of employees to large companies with impressive “exit” events. He has worked with other prominent Texas-based technology companies including Silicon Laboratories, i2 Technologies and FlashNet Communications in their IPOs, Tantau Software in its venture capital financings and subsequent sale to 724 Solutions and Ineto Services in its re-start, angel financing and subsequent sale to Siebel Systems.

During his ten years in Austin, Mr. Dunn has established relationships with proven entrepreneurs, venture capital investors, angel investors, other services firms including banks, accounting firms and financial advisors, and outside directors of accomplishment. In addition, he has served as company counsel and counsel to underwriters in IPOs that have raised in excess of $1.0 billion for company issuers. As a result, Mr. Dunn’s experience is invaluable to any company that sees an IPO as a key part of its future, whether those plans are intended to occur in several months or several years.

From 1987 to his joining Brobeck in 1992, Mr. Dunn served as an associate in the Los Angeles’ offices of Paul, Hastings, Janofsky & Walker, where he engaged in the representation of companies and investors in venture capital and secured loan transactions. He also worked with the Asia-Pacific practice group representing foreign-based companies in mergers and acquisitions, investments and joint ventures involving U.S. companies.

Mr. Dunn received his Juris Doctor degree from the University of Southern California Law Center in 1987 where he served on the law school’s law review and was awarded membership in the Order of the Coif. He graduated from Stanford University in 1984 with a degree in Economics, with distinction.
