  • Formerly General Counsel, Board Secretary and Chief Compliance Officer for Euroclear SA/NV, a global financial firm with over $20 trillion in assets under custody and more than $1 billion annual revenues. Member of the Euroclear Group Management Team. Directly responsible for all legal and compliance matters for Euroclear companies worldwide, as well as board and ethics support. Euroclear group is one of the world’s premier providers of settlement and related services, and acts as settlement provider for the London, Paris, Dutch and Belgian stock exchanges. It is also the leading provider of settlement and related services for Eurobonds, emerging market bonds and key European government debt.
  • Extensive experience working with legal and regulatory issues in more than 30 countries, including issues involving securities settlement and custody, listed and OTC markets, international and US anti-money laundering regulations, IT support for multi-national companies, European anti-trust regulation and European financial services law. Negotiated strategic mergers and alliances in multiple European jurisdictions (including UK and France). 
  • Experience helping technologically innovative companies navigate regulatory and legal obstacles, including guiding new market infrastructure providers in obtaining licenses and organizing compliance and legal functions in the U.S. and the U.K.
  • Served in senior counsel and senior executive positions with U.S. Securities and Exchange Commission and U.K. financial services regulator.
  • Worked with two leading U.S. law firms in New York and Washington.
  • Holds Juris Doctorate from Georgetown University and Bachelor of Journalism from University of Texas. Member of District of Columbia Bar Association; not licensed in Texas.

    Kristen Geyer has more than 18 years experience working with U.S. and international legal issues that impact financial services firms. Her work includes senior in-house legal and compliance positions for a large global financial firm, as well as positions with top U.S. and U.K. regulators and leading U.S. law firms. She is accomplished at handling multiple, complex and high-profile issues in rapidly changing business and political environments.

    Ms. Geyer has extensive experience working with legal issues in more than 30 countries on trading, custody, banking and related matters, including issues involving:

    • listed and OTC securities markets
    • securities settlement and custody
    • international anti-money laundering requirements
    • collateral management
    • securities lending
    • cross-border conflicts of law affecting collateral and banking arrangements
    • European financial services law, including European Commission financial services directives, and
    • European anti-trust law related to financial services.
    • IT support agreements (software development and licensing, network support arrangements, etc.)


    Ms. Geyer has also helped technologically innovative companies navigate regulatory and legal obstacles and was an early author of SEC policies in this arena. She has guided new market infrastructure providers (automated exchanges, settlement systems, brokers) in obtaining licenses and organizing compliance and legal functions in the U.S. and the U.K., both as a regulator and in private practice.

    Ms. Geyer has negotiated mergers for acquisitions under the laws of multiple European jurisdictions (including the U.K. and France) and has organized corporate board and governance matters for companies operating under the laws of the U.K., France, Belgium and Switzerland. She also has experience handling legal department management in a multi-cultural environment and across multiple international location, and establishing global policy, compliance and crisis management structures

    Prior to joining Phillips & Reiter, Ms. Geyer served as General Counsel, Board Secretary and Chief Compliance Officer for Euroclear SA/NV, one of the world’s premier providers of settlement and related services and the settlement provider for the London, Paris, Dutch and Belgian stock exchanges, with over $20 trillion in assets under custody. She also served in these positions for Euroclear Bank SA/NV, a Belgian bank that provides settlement and related banking services for a global securities business and the leading provider of settlement and related services for Eurobonds, emerging market bonds and key European government debt.

    In her eight years with the Euroclear group, Ms. Geyer was responsible for all legal and compliance matters for Euroclear companies worldwide, as well as board and ethics support. Ms. Geyer also served as a member of the group’s senior negotiating team for key strategic mergers and alliances, and managed a multi-location and multi-cultural staff of more than 40 lawyers and compliance staff.

    In addition to her work with the Euroclear group, Ms. Geyer served as senior counsel in the Market Regulation Division of the U.S. Securities and Exchange Commission and as a senior executive with the U.K.’s equivalent financial services regulator. Prior to those positions, Ms. Geyer worked with leading U.S. law firms in New York (Cravath, Swaine & Moore) and Washington (Cadwalader, Wickersham & Taft).

    Ms. Geyer is particularly known for having exceptional business acumen, superior communication skills and the ability to deliver practical legal results in line with business objectives.

    Ms. Geyer graduated from Georgetown University Law Center and the University of Texas. She is licensed in the District of Columbia; she is not licensed in Texas.
