Full Bio:

With over 15 years of experience working in house and with law firms in Austin and Houston, Bill Wilson, has provided legal counsel to a wide variety of companies and investors, in a variety of corporate matters. Prior to joining Phillips & Reiter, Mr. Wilson was Vice President, General Counsel and Corporate Secretary of Digital Lifestyles Group, Inc. (OTC: DLFG), an Austin-based designer, manufacturer and distributor of personal computers, from February 2004 to June 2005. While at Digital Lifestyles. Mr. Wilson was responsible for all legal aspects of the company’s operation, including contract drafting and review, filings with the Securities and Exchange Commission, litigation management and financing transactions. He was also responsible for the company’s Human Resources function. Significant matters Mr. Wilson managed while at Digital Lifestyles included: (i) a $5.0 million private placement of the company’s common stock and warrants; (ii) a $7.5 million private placement of the company’s convertible notes and warrants to an institutional lender; (iii) several litigation matters; and (iv) a review of the company’s employee stock ownership plan by the U.S. Department of Labor.

Prior to joining Digital Lifestyles, Mr. Wilson was of counsel in the Corporate Securities Section of the Austin office of Haynes and Boone, LLP, from May 2003 through January 2004. Prior to joining Haynes and Boone, Mr. Wilson spent almost seven years with the Corporate Securities Section of the Austin office of Hughes & Luce, LLP (five years as a partner), from August 1996 through April 2003. While in private practice during this period, Mr. Wilson represented Netpliance, Inc. (Nasdaq NMS: NPLI), later TippingPoint Technologies, Inc. (Nasdaq NMS: TPTI), in its initial public offering and Norwood Promotional Products, Inc. (Nasdaq NMS: NPPI) in its management led going private transaction and its acquisition of certain domestic subsidiaries of Bemrose Corporation plc. Mr. Wilson also focused on the representation of early stage companies and investors in early stage companies.

Prior to joining Hughes & Luce, Mr. Wilson was Vice President, General Counsel and Corporate Secretary of Medical Innovations, Inc. (Nasdaq SmallCap: MIXX), a Houston-based home healthcare provider, from January 1996 through July 1996. While at Medical Innovations, Mr. Wilson’s primary responsibility was managing all of the legal aspects of the acquisition of the company by Horizon Healthcare.

From May 1989 through December 1995, Mr. Wilson was an associate in the Corporate Securities Sections of the Austin office of Jenkens & Gilchrist (formerly the Austin-based firm of Shapiro, Edens & Cook) and the Houston-based firm of Boyer, Ewing & Harris (now Boyer & Ketchand).

Prior to attending law school, Mr. Wilson spent over two years working for First City National Bank in Houston.

Mr. Wilson received his Juris Doctor degree, cum laude, from Southern Methodist School of Law in 1989, where he served on the Southwestern Law Journal (now the SMU Law Review) and was awarded membership in the Order of the Coif. He received his Master of Business Administration degree from the University of North Carolina at Chapel Hill in 1984 and a bachelor’s degree in economics from the University of the South, Sewanee, Tennessee, in 1981. He is admitted to practice in Texas.
