Full Bio:

Gil Melman began his legal practice in the Corporate Securities Group of Vinson & Elkins LLP’s Houston, Texas office in 1993. His practice involved debt and equity transactions in capital markets, SEC practice, mergers and acquisitions, international securities offerings, project finance, structured finance and general corporate advice. He also spent one year in the firm’s Singapore office assisting various clients in financing and commercial transactions in the developing Asian markets.

In 1999, Gil went to work for Enron Corp. in its burgeoning broadband group. There, he focused on mergers and acquisitions, commercial transactions and venture capital in the telecom and internet/technology sector. Gil later became the lead attorney for the private equities group that Enron Corp. formed in July 2001 to consolidate and manage its merchant/venture capital investments. He oversaw a portfolio of approximately 90 debt and equity investments in companies at all stages of their development, including handling securities issues, refinancings, follow on transactions and negotiation of Enron’s ultimate exits from the investments. After Enron’s bankruptcy in December 2001 until January 2003, Gil’s practice included merger and acquisition work related to the disposition of Enron’s assets in addition to his responsibilities in managing Enron’s private investments group.

In 2003, Gil joined The Redstone Companies as Vice President and Assistant General Counsel. There, he was involved in the management of several venture capital investments, drafting and negotiation of partnership agreements, structuring complex finance transactions and merger and acquisition transactions involving Redstone’s portfolio companies. Specifically, he managed the sale of certain of Redstone’s restaurant holding company assets for $120 million. He also represented Redstone, as the sponsor in the sale of US$61 million in United Kingdom and Australian mortgage company assets to a newly created joint venture vehicle and negotiation of US$220 million secured loan facility to such vehicle. He provided legal and commercial support in Redstone’s exit from such investment. He has also provided legal support in connection with the formation of Redstone Equity Fund II, L.P., a $100 million private equity fund.

Gil’s areas of expertise include corporate finance, particularly at the pre-public stage, with a strong focus on venture capital finance and middle market transactions. He has also represented numerous companies of all sizes as both buyer and seller in his merger and acquisition practice. Finally, he also provides general corporate counsel to companies on everyday matters, including general commercial transactions.

Gil is a graduate of the University of Texas School of Law (J.D. 1993) and the University of Texas (BBA Accounting 1988).
