With over 17 years of experience working in house with mid-market private companies, start-up ventures, and Fortune 10 companies and with a major law firm in Houston, Alicia Goodrow, has provided legal counsel to a wide variety of companies and investors, in corporate, partnership, and tax planning matters.
Through Phillips & Reiter, Ms. Goodrow provides outsourced general counsel services to several established midmarket companies in the construction, engineering services, biotechnology, retail and services sectors. Clients include Aquinas Companies, AlphaDev, LLC, Engica, Fairway Medical Technologies, GrowthForce, PSRG, The Tasting Room, and Cova. For all of these clients, Ms. Goodrow provides legal services through on-going counseling, corporate planning and compliance, tax planning, and general business advice.
PRior to joining Phillips & Reiter, Ms. Goodrow was Assistant General Counsel and Senior Director/Tax for Enron Corp. with responsibility for planning and executing tax and partnership legal planning for the placement of over $1.5 billion in equity in wind energy facilities; the acquisition of several regional pipeline companies; and structuring and negotiating financial investments to facilitate asset leasing and dispositions. Ms. Goodrow’s tenure at Enron also included negotiating settlements of multi-tiered complex domestic and foreign financial transactions and working closely with audit and investigation teams in the Enron bankruptcy. In her capacity as Enron’s counsel, Ms. Goodrow successfully closed transactions with GECC, Florida Power, Deutsche Bank, and other sophisticated counterparties.
Ms. Goodrow started her legal career as an associate in the Tax and Banking and Real Estate Sections of Locke Lord Bissell (formerly Liddell, Sapp, Zivley, Hill & LaBoon). Her clients included many closely held venture capital transactions structures as partnership or limited liability companies, many family owned business undergoing expansions or succession planning, and major Texas real estate companies with complex partnership planning needs.
Ms. Goodrow received her Juris Doctor degree from The University of Texas School of Law in 1991 where she served on the Review of Litigation. She received a bachelor’s degree in economics and history with a concentration in Spanish from the College of William and Mary in 1988. Her publications include articles in the Texas Bar Journal, the Practical Tax Lawyer, and the Journal of Real Estate Taxation among others. She is admitted to practice in Texas and is fluent in Spanish.
