Practical Experience

Over 15 years of legal experience with 6 years as a senior trusted legal advisor to numerous business groups in a Fortune 9 global legal department, drafting and negotiating complex commercial agreements with cross-business and cross-functional teams; advising on commercial matters for key business units, including antitrust issues, consumer law, strategic alliances and complex global transactions.  Over 4 years as Lead M&A/Securities Counsel to a Fortune 50 technology company representing Treasury, Finance and Corporate Development groups on mergers and acquisitions, investment activity; SEC compliance; and Board matters.  Prior to 10 years of in-house experience, spent many years in private practice advising mid-cap and large-cap clients on mergers and acquisition activity, securities law compliance (including ’33 Act and ’34 Act and stock exchange compliance), corporate compliance and governance, and general corporate law.

For 10 years prior to entering law school, served as Chief Internal Auditor to a Fortune 100 manufacturing company and Audit Supervisor for PricewaterhouseCoopers, managing internal and external audit activity and advising executive management on accounting issues related to corporate finance, mergers and acquisition and IPO activity.
